PMAP Licensing

Overview

The PannonRex Morfik Advantage Program (PMAP) is an annual subscription service that delivers design-time and run-time software components, software libraries, sample applications, whitepapers and other materials (“PMAP library”) to aid clients in developing state-of-the-art solutions with Morfik AppsBuilder (Morfik). This license agreement covers the use of all these items.

In summary:

  • You have the right to obtain the latest version of the PMAP library during your annual subscription period (starting from the purchase date).
  • You have a perpetual right to use any version of the PMAP library you legally obtained during your subscription.
  • The PMAP library is licensed per developer – you must obtain separate licenses for each developer using it.
  • You have a royalty free right to distribute the software components of the PMAP library in binary form integrated into your application. You cannot distribute any parts of the PMAP library in any other form.
  • You cannot create solutions/services that directly compete with PMAP or the PMAP library.
  • If you make changes to the PMAP library you are encouraged to share those changes with PannonRex for the benefit of all PMAP participants. In such cases you relinquish all rights to the changes you made and PannonRex obtains all rights to use those changes as it sees fit.
  • The PMAP library is provided on an “as-is” basis and you waive any and all claims of liability of any damages.
  • If you obtain a full evaluation version of the PMAP library you have 30 days to evaluate it in a development environment, but are not allowed to release products with that version.
  • If you obtain a special promotional (“demo”) version of the PMAP Library (or components of the PMAP Library) you can only use that particular version of the particular component(s) in accordance with the terms of this license without updates. Of course you are welcome and encouraged to purchase an annual PMAP subscription to have access to all the benefits of PMAP.

Detailed license terms

IMPORTANT – READ CAREFULLY: This End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and PannonRex Ltd. (“PannonRex”) for the PMAP Library that accompanies this EULA, which includes computer software, whitepapers and may include associated media, printed materials, “online” or electronic documentation, and Internet-based services (“PMAP library”).

YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE. IF YOU DO NOT AGREE, DO NOT INSTALL, COPY, OR USE THE SOFTWARE. In addition, by installing, copying, or otherwise using any updates that you may receive as part of the PMAP library (”UPDATES”), you agree to be bound by the additional license terms that accompany such UPDATES which may require you to voluntarily terminate your earlier EULA on a license exchange basis. If you do not agree to the additional license terms that accompany such UPDATES, you may not install, copy, or use such UPDATES.

1. DEFINITION

a. “End-User Application(s)” means application program(s) designed, developed and compiled with the help of the PMAP Library.

b. “Annual subscription period” is a 365 calendar day period from the date of last purchase.

2. GRANTS OF LICENSE. PannonRex grants you the rights described in this EULA provided that you comply with all terms and conditions of this EULA.

2.1 General License Grant. If you are an individual, PannonRex grants you a personal, nonexclusive license to use the PMAP library, and to make and use copies of the PMAP library for the purposes of designing, developing, testing, and demonstrating your End-User Application(s), provided that you are the only individual using the PMAP library. If you are an entity, PannonRex grants to you a personal, nonexclusive license to use the PMAP library, and to make and use copies of the PMAP library, provided that for each individual using the PMAP library within your organization, you have acquired a separate and valid license for each such individual.

2.2 You may ONLY use the PMAP library and any libraries and source code included with the PMAP library to write End-User Application(s). You may reproduce and distribute End-User Application(s) which you create only in executable form without additional licenses or fees, subject to all of the conditions in this EULA.

2.3 Documentation. You may make and use an unlimited number of copies of any documentation, provided that such copies shall be used only for personal purposes and are not to be republished or distributed (either in hard copy or electronic form) beyond your premises.

2.4 Storage/Network Use. You may also store or install a copy of the PMAP library on a storage device, such as a network server, used only to install or run the PMAP library on computers used by licensed end users in accordance with Section 2.1. A single license for the PMAP library may not be shared or used concurrently by multiple end-users.

2.5 You can obtain the latest version of the PMAP library during your annual subscription period.

3 License Restrictions.

3.1 You may not use the PMAP library to develop any End-User Application(s) having the same primary function as the PMAP library.

3.2 You may not reverse engineer, decompile, or disassemble the PMAP library, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

3.3 The initial user of the PMAP library may make a one-time permanent transfer of this EULA and PMAP library to another end user, provided the initial user retains no copies of the PMAP library. This transfer must include all of the PMAP library. The transfer may not be an indirect transfer, such as a consignment. Prior to the transfer, the end user receiving the PMAP library must agree to all the EULA terms.

3.4 Any work-products based on, or incorporating the PMAP library must in some meaningful way give credit to PannonRex Ltd. for what parts were used. This credit may take whatever form you deem appropriate for your use, but, for example, a mention in your about box (if you are developing an application that has an about box) would satisfy this requirement. These credits to PannonRex Ltd. should include the web, and email addresses (http://www.pannonrex.com/pmap/ and pmap@pannonrex.com) and it is recommended to contain the text “Portions (c) Copyright by PannonRex Ltd.”.

3.5 This license does NOT grant the right to redistribute any PMAP library source code or documentation. PannonRex Ltd. is the sole source of PMAP licenses, and the sole party allowed to distribute its sources.

4 PRE-RELEASE CODE. Portions of the PMAP library may be identified as pre-release code (“Pre-release Code”). Such Pre-release Code is not at the level of performance and compatibility of the final, generally available product offering. The Pre-release Code may not operate correctly and may be substantially modified prior to first commercial shipment. PannonRex is not obligated to make this or any later version of the Pre-release Code commercially available. The grant of license to use Pre-release Code expires upon availability of a commercial release of the Pre-release Code from PannonRex.

5 ATTRIBUTION. The PMAP library contain the trade names, trademarks, service marks, logos, domain names, and other distinctive brand features of PannonRex and its affiliates. You may not delete or in any manner alter these trade names, trademarks, service marks, logos, domain names, and other distinctive brand features. You agree to maintain, and not to remove, modify, obscure or alter, any link or notices appearing on any portion of the PMAP library.

6 RESERVATION OF RIGHTS AND OWNERSHIP. PannonRex reserves all rights not expressly granted to you in this EULA. The PMAP library is protected by copyright and other intellectual property laws and treaties. PannonRex or its suppliers own the title, copyright, and other intellectual property rights in the PMAP library. The PMAP library is licensed, not sold. All PannonRex libraries, source code, Redistributables and other files remain PannonRex’s exclusive property. Regardless of any modifications that you make, you may not distribute any files (particularly PannonRex source code and other non- executable files) except those that PannonRex has expressly designated as Redistributables. Nothing in the EULA permits you to derive the source code of files that PannonRex has provided to you in executable form only, or to reproduce, modify, use, or distribute the source code of such files.

7 CONSENT TO USE OF DATA. You agree that PannonRex and its affiliates may collect and use technical information gathered as part of the product support services provided to you, if any, related to the PMAP library. PannonRex may use this information solely to improve our products or to provide customized services or technologies to you and will not disclose this information in a form that personally identifies you.

8 ADDITIONAL SOFTWARE/SERVICES. This EULA applies to updates, supplements, add-on components, or Internet-based services components of the PMAP library that PannonRex may provide to you or make available to you after the date you obtain your initial copy of the PMAP library, unless we provide other terms along with the update, supplement, add-on component, or Internet-based services component.  All these services are subject to your annual subscriptio period. PannonRex reserves the right to discontinue any Internet-based services provided to you or made available to you through the use of the PMAP library.

9 TERMINATION. Without prejudice to any other rights, PannonRex may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the PMAP library and all of its component parts.

10 THIRD PARTY SOFTWARE. The PMAP library may contain third party software which requires notices and/or additional terms and conditions. Such required third party software notices and/or additional terms and conditions are in the source code and/or at http://www.pannonrex.com/pmap/third-party-notices and are made a part of and incorporated by reference into this EULA. By accepting this EULA, you are also accepting the additional terms and conditions, if any, set forth therein.

11 DISCLAIMER OF WARRANTY. The PMAP library IS PROVIDED AS IS, AND PannonRex DISCLAIMS ANY AND ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, WITH RESPECT TO IT, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

12 LIMITATION OF LIABILITY. PannonRex shall not be responsible for any loss or damage to you or any third parties caused by the PMAP library. PannonRex SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHETHER BASED ON CONTRACT OR TORT OR ANY OTHER LEGAL THEORY, ARISING OUT OF ANY USE OF THE SOFTWARE, TECHNICAL SUPPORT OR ANY PERFORMANCE OF THIS EULA.

13 GENERAL PROVISIONS. This EULA may only be modified in writing signed by you and an authorized officer of PannonRex. If any provision of this EULA is found void or unenforceable, the remainder will remain valid and enforceable according to its terms. This EULA expresses the complete understanding of the parties with respect to the subject matter set forth herein and supersedes all prior proposals, agreements, representations and understandings concerning said subject matter, whether written or oral, or by course of conduct. This EULA may not be amended except in a writing signed by both parties. This EULA shall be construed, interpreted and governed by the laws of Hungary. This EULA gives you specific legal rights; you may have others which vary from state to state and from country to country. PannonRex reserves all rights not specifically granted in this EULA.
